Trilegal, K&L Gates, AZB, Baker McKenzie Act On Wipro’s Acquisition Of Mindsprint From Olam Group

Trilegal, K&L Gates, AZB & Partners and Baker McKenzie advised on Wipro’s US$375 million acquisition of Mindsprint from Olam Group.

Wipro Limited has agreed to acquire a 100% stake in Mindsprint Pte. Ltd. From Olam Group for approximately US$375 million, as part of a broader strategic transaction. The deal also includes a long-term, multi-year transformation engagement between Wipro and Olam Group, spanning eight years and expected to exceed US$1 billion in value. The transaction supports Olam Group’s ongoing business simplification and portfolio optimisation strategy, while enabling Wipro to expand its capabilities in digital and IT services.

Mindsprint, which provides technology, cybersecurity and digital solutions, employs over 3,200 employees and serves multiple clients across the food and agri-business, manufacturing, retail and CPG, and healthcare and life-sciences verticals, including large enterprise accounts in the US, Asia Pacific and Middle East.

Trilegal acted as lead sell-side counsel for Olam Group Limited on the sale of its entire (100%) shareholding in Mindsprint Pte. Ltd. To Wipro Networks Pte. Ltd., a subsidiary of Wipro Limited. Trilegal also assisted the Group in awarding an eight-year strategic transformation deal to Wipro with a committed annual spend of US$100 million.

K&L Gates advised Olam Holdings on the US$375 million sale of Mindsprint and its subsidiaries to Wipro.

The deal team was led by Singapore Corporate partners David Kuo and Meraj Noor, supported by counsel Ying Chern Tan and senior associate Esther Neo. Australian legal advice was provided by Sydney partners Ayman Guirguis, Cameron Abbott, and Daniel Atkin.

AZB & Partners advised Wipro Limited on its indirect acquisition of a 100% stake in Mindsprint.

The deal team comprised Senior Partners Srinath Dasari and Bhuvana Veeraragavan, Partner Adoksh Shastry, Senior Associates Yash Anand and Tantu Vardhn, Associates Shivani Verma and Zahra Vakil, with support from Partner Aditya Singh Chandel, Senior Associate Suhail Bansal and Associate Akshat Jain on tax aspects, and from Senior Partner Bharat V Budholia, Senior Associate Vayshnavi Ganesh and Associate Arth Doshi on anti-trust aspects.

Baker McKenzie advised Wipro Limited on entering into a multi-year strategic transformation deal with Olam Group through its acquisition of Mindsprint.
