Skadden, King & Wood, Latham & Watkins, Maples Group, Haiwen, Han Kun Act On SHEIN’s Hong Kong IPO

Skadden, King & Wood, Latham & Watkins, Maples Group, Haiwen & Partners and Han Kun Law Offices advised on SHEIN Global Holdings Limited’s IPO, it’s global offering and listing on the Main Board of the Hong Kong Stock Exchange.

The global offering comprised 279,992,500 Class B shares (subject to the over-allotment option) at the final offer price of HK$48.56 per share, raising gross proceeds of approximately HK$13.6 billion (subject to the over-allotment option).

SHEIN is a global online fashion and lifestyle company serving approximately 273 million active customers in approximately 160 markets in 2025. During the year, SHEIN generated net revenue of US$41.8 billion and net profit of US$2.064 billion. Based on apparel and footwear retail sales, SHEIN was the world’s largest online fashion platform and ranked among the top three fashion retailers and the top five apparel and footwear companies globally.

Skadden, Arps, Slate, Meagher & Flom LLP advised SHEIN on its IPO. The global team was led by corporate partners Shu Du, head of Skadden’s Beijing office, and Paloma Wang, co-head of Skadden’s China practice, and included counsel Martina To, Hang (Charles) Shi, Michael Jia, Tracy Lee and associates Julia Liu, Haoran Luan, Kristen Huang and Giselle Cheung. Partners Kevin Hardy and Sean Shimamoto provided investment management and tax advice.

The team also includes partner Danny Tricot, counsel Justin Lau, and Haiping Li, co-head of Skadden’s China practice.

King & Wood acted as the issuer’s PRC counsel in the offering.

The transaction required close coordination across multiple jurisdictions and regulatory frameworks, reflecting the complexity and international scale of SHEIN’s business. King & Wood worked closely with SHEIN and the other advisers to support the successful completion of this landmark Hong Kong listing.

The team was led by Partners Zhou Rui and Luo Xiao, with support from Liu Zhangru, among others.

Latham & Watkins advised the joint sponsors and underwriters on Hong Kong and US law. Goldman Sachs, Morgan Stanley and JPMorgan acted as joint sponsors of the listing.

Maples Group provided Cayman Islands legal advice, with Partners Matt Roberts and Karen Zhang Pallaras leading the team.

Haiwen & Partners served as PRC legal counsel, with Partners Jackson Tang and Kuang Peizhu leading the team.
